These Terms of Service ("Terms") govern your access to and use of the websites, products, and services (collectively, the "Service") provided by National Utility Services LLC ("NuServices," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users of the Service, including business owners, their staff, and end customers who interact with the Service by phone or text message.
NuServices provides an AI-powered receptionist service for contractors, property managers, and other service businesses. The Service includes automated call answering, appointment scheduling and calendar booking, SMS notifications and confirmations, missed-call text-back, lead management tools, call transcripts and recordings, and related features. We may add, modify, or remove features from time to time.
You must provide accurate, current, and complete information when creating an account and keep that information up to date. You are responsible for maintaining the confidentiality of your account credentials.
You must notify us immediately of any unauthorized access to or use of your account. We are not liable for losses resulting from unauthorized use of your account caused by your failure to safeguard your credentials.
You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Service.
You agree not to use the Service to: violate any applicable law, regulation, or third-party right; send spam, unsolicited, or fraudulent messages; transmit malware or other harmful code; interfere with or disrupt the Service or its infrastructure; attempt to gain unauthorized access to any systems or data; impersonate any person or entity; collect information from individuals without their consent; or engage in any activity that violates telecommunications carrier requirements or 10DLC (10-digit long code) messaging regulations.
Where you use the Service to communicate with your own customers, you are responsible for obtaining any legally required consent before those communications occur and for maintaining records of that consent. NuServices obtains explicit opt-in consent before sending SMS messages through forms on our website.
Recipients of SMS messages sent through the Service may opt out at any time by replying "STOP" to any message. Recipients may reply "HELP" for assistance or contact us at hello@nuservices.org. Opt-out requests are honored promptly.
The Service may not be used to send content that is illegal, or that violates carrier guidelines, including content related to adult services, gambling, cannabis, or firearms.
Fees for the Service are as specified on our pricing page or in your service agreement. By subscribing, you agree to pay the applicable fees.
Except where stated otherwise, fees are non-refundable. We may change our fees upon reasonable advance notice; your continued use of the Service after a fee change takes effect constitutes acceptance of the new fees.
Failure to pay fees when due may result in suspension or termination of the Service. You are responsible for reasonable costs of collection, including attorney fees, where permitted by law.
The Service, including all content, features, and functionality, is owned by National Utility Services LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works of the Service without our prior written permission.
You retain ownership of content you submit to the Service (such as your business information, greetings, and scripts). You grant us a worldwide, non-exclusive, royalty-free license to use that content solely to provide and improve the Service.
If you provide feedback or suggestions, we may use them without obligation to you.
We work to keep the Service available at all times but do not guarantee uninterrupted access. Scheduled maintenance may occur with advance notice where practical. Support is available by email at hello@nuservices.org during business hours; response times may vary by plan. We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect information. By using the Service, you consent to the data practices described in the Privacy Policy.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, National Utility Services LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising out of or related to your use of the Service.
Our total liability for any claim arising out of or relating to the Service is limited to the amounts you paid us in the twelve (12) months preceding the event giving rise to the claim.
You agree to defend, indemnify, and hold harmless National Utility Services LLC and its officers, employees, and agents from any claims, damages, and expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right.
You may terminate your account at any time by contacting us at hello@nuservices.org. Your right to use the Service ceases upon termination.
We may suspend or terminate your access to the Service for violation of these Terms, non-payment, or conduct that we reasonably believe is harmful to the Service or others.
Upon termination, all licenses granted to you end. Provisions that by their nature should survive termination (including ownership, disclaimers, and limitations of liability) will survive.
Before filing a formal claim, you agree to first contact us with a written description of the dispute so we can attempt to resolve it informally.
Any dispute that cannot be resolved informally shall be resolved by binding arbitration administered under the rules of the American Arbitration Association.
Disputes will be resolved on an individual basis only; class actions and class arbitrations are not permitted.
These Terms are governed by the laws of the United States, without regard to conflict-of-law provisions. These Terms, together with the Privacy Policy, constitute the entire agreement between you and National Utility Services LLC regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver of our rights. You may not assign these Terms without our consent; we may assign them freely.
We may modify these Terms from time to time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
